Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the services provided by Qontiv, Inc. (“Qontiv,” “we,” “us,” or “our”), including www.qontiv.com and app.qontiv.com (the “Services”).

By accessing or using the Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Services, you confirm that you have read, understood, and agree to these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Services

Qontiv provides a cloud-based Manufacturing Execution System (MES) platform that enables manufacturers to track production, quality, and equipment performance.

3. Accounts and Registration

You are responsible for maintaining the security of your account credentials. You are responsible for all activity under your account. Notify us immediately of any unauthorized use.

4. Subscription and Payment

  • Subscriptions are billed in advance on a monthly or annual basis.
  • Fees are non-refundable except as expressly stated in these Terms.
  • We reserve the right to change pricing with 30 days’ notice.
  • Your subscription renews automatically unless cancelled before the renewal date.

5. Your Data

You retain ownership of all data you input into the Services (“Customer Data”). You grant Qontiv a limited license to process Customer Data solely to provide the Services.

We will not access or disclose Customer Data except: (a) as necessary to provide the Services; (b) as required by law; or (c) with your explicit consent.

6. Acceptable Use

You may not use the Services to:

  • Violate any applicable law or regulation
  • Transmit malicious code or interfere with the Services
  • Reverse engineer or attempt to extract the source code
  • Resell or sublicense the Services without authorization

7. Intellectual Property

Qontiv retains all intellectual property rights in the Services. These Terms do not grant you any license to Qontiv’s trademarks, patents, or proprietary technology.

8. Confidentiality

Each party agrees to maintain the confidentiality of the other party’s confidential information and not to disclose it to third parties.

9. Warranties and Disclaimers

The Services are provided “as is” and “as available.” To the maximum extent permitted by law, Qontiv disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the maximum extent permitted by law, Qontiv’s total liability for any claim arising from these Terms or the Services shall not exceed the fees paid by you in the 12 months preceding the claim.

Qontiv shall not be liable for indirect, incidental, special, consequential, or punitive damages.

11. Indemnification

You agree to indemnify and hold harmless Qontiv from claims arising from your use of the Services or violation of these Terms.

12. Termination

Either party may terminate for material breach upon 30 days’ written notice if the breach is not cured within that period. Upon termination, your access to the Services will cease. We will provide Customer Data export for 90 days following termination.

13. Governing Law

These Terms are governed by the laws of Delaware, USA. Disputes shall be resolved by binding arbitration, except that either party may seek injunctive relief in a court of competent jurisdiction.

14. Changes to Terms

We may update these Terms. We will provide 30 days’ notice of material changes. Continued use of the Services after notice constitutes acceptance.
